Explanation of Responses:
1. Includes 8,333 restricted stock units from a grant awarded on March 3, 2017 which vests 1/3 on each annual anniversary, 4,813 restricted stock units from a grant which vested 25% on March 2, 2019 and 3/48 on each quarterly anniversary thereafter, 32,000 restricted stock units awarded on February 28, 2019 which vest 25% on February 28, 2021 and 75% on February 28, 2022 and 8,000 restricted stock units awarded on February 28, 2019 which vests 25% on February 28, 2020 and 3/48 on each quarterly vesting date thereafter. Vesting of restricted stock units is subject to continuing employment of the Reporting person on the vest date.
2. The option is fully vested.
3. Includes 25,000 options that vested over a 3 year period. Also includes 30,000 options that became exercisable as to 25% of the shares on March 1, 2017, and the remaining shares vest at a rate of 1/48th of the total number of shares subject to the award for each month of continuous service thereafter.
